Sir Adrian Cadbury, best-known for pioneering good corporate governance in British companies through the 1992 Cadbury Report, died earlier this month. The report advocated a clear division of responsibilities between a Chair and CEO that is now universally used in UK-based companies today. However, he was clear that companies should comply with the code of best practice set out in the report or explain any divergence from it to their shareholders.
